COMMERCIAL TERMS AND CONDITIONS

2. Scope of Application
These Commercial Terms and Conditions apply to all training services provided by Mimir Learning SRL (“Mimir Learning”), including Virtual Classroom training, Classroom training, self-paced e-learning courses, and certification exam vouchers, whether resold separately or included in training packages, as specified on the relevant course page.
By placing an order, the Customer accepts these Terms in full, without prejudice to mandatory provisions of applicable Belgian law.
3. Training Services and Access
Access is granted only after full payment or according to written payment terms agreed between the parties.
E-learning access is granted for 12 months from activation unless otherwise stated.
Mimir Learning may suspend access for unpaid or overdue invoices, subject to Belgian law.
4. Pricing and Payment Terms
Prices are in EUR and exclusive of VAT unless stated otherwise.
Payment is due within 7 calendar days from invoice date unless otherwise agreed in writing. Accepted methods include bank transfer and PayPal.
For late payment, Mimir Learning may suspend services, apply applicable statutory or contractual late-payment interest, claim permitted recovery costs, and refuse future bookings until outstanding amounts are settled. For B2B transactions, late-payment interest and recovery costs apply under Belgian legislation governing late payment in commercial transactions.
5. Cancellation, Refunds and Rescheduling
5.1 Virtual Classroom and Classroom Training
For business customers, full refund up to 10 working days before the start date; 50% refund up to 2 working days before; no refund thereafter or once the course has started. Consumer rights under Belgian law prevail where mandatory.
5.2 E-Learning Courses
For business customers, non-refundable once access is granted due to immediate availability of digital content. For consumers, statutory rights concerning digital content and services apply, including applicable rules concerning express consent to immediate performance and withdrawal rights.
5.3 Rescheduling
Each participant may request one free rescheduling, subject to availability and provided the request is made before the course start date.
6. Course Modifications and Operational Changes
Mimir Learning may reschedule dates, replace trainers, cancel for insufficient enrolment, or convert classroom delivery to Virtual Classroom where reasonably necessary.
If Mimir Learning cancels a course, the Customer may choose a full refund or transfer to an alternative date, without prejudice to mandatory consumer rights.
7. Intellectual Property Rights
All training materials are the exclusive property of Mimir Learning SRL or its licensors and are protected by applicable intellectual property law.
Customers receive a limited, non-exclusive and non-transferable licence for personal professional or internal company use only.
It is prohibited to copy or distribute materials except where legally permitted, share credentials, allow third-party access, use materials for external training or commercial purposes, record live sessions without prior written consent, or resell/sublicence materials.
8. Limitation of Liability
To the maximum extent permitted by Belgian law, Mimir Learning is not liable for indirect, incidental or consequential damages; total contractual liability is limited, where legally permissible, to the amount actually paid for the service giving rise to the claim; and no guarantee is given regarding certification success or particular professional, career or business outcomes.
Nothing excludes or limits liability where such exclusion or limitation is prohibited by mandatory Belgian law.
9. Data Protection
Mimir Learning processes personal data in accordance with the GDPR and applicable Belgian data protection legislation.

10. Governing Law and Jurisdiction
These Terms are governed by Belgian law, without prejudice to mandatory consumer provisions.
For B2B relationships, disputes shall be submitted to the competent courts of Brussels, Belgium, unless mandatory law provides otherwise. Consumers retain mandatory Belgian or European jurisdictional rights.
11. Force Majeure
Mimir Learning is not liable for failures or delays caused by events beyond reasonable control, including natural disasters, Internet/telecommunications/infrastructure failures, epidemics, government measures, labour disputes, supplier failures, cyber incidents or major technological disruptions.
Mimir Learning will make reasonable efforts to resume performance as soon as circumstances permit.
12. Final Provisions
If a provision is invalid or unenforceable, the remaining provisions remain in force. An invalid provision will, where possible, be interpreted or replaced to reflect its original purpose while complying with law.
Mimir Learning may update these Terms. The version applicable to an order is generally the version published when the order is placed, without prejudice to mandatory rights.
